These Terms of Use form an agreement between you and Wavfolio (“Wavfolio,” “we,” “us,” or “our”). By creating an account, accepting these terms, or using Wavfolio, you agree to these Terms and the Privacy Policy.

Eligibility and accounts

You must provide accurate account information, protect your credentials, and be at least 18 years old or use the service with a parent or legal guardian who accepts these Terms. You are responsible for activity under your account and for promptly reporting suspected unauthorized access.

The service

Wavfolio provides tools for studios and audio professionals to organize projects, share private client pages, review audio versions, collect comments and approvals, exchange project information, and deliver files. Features, limits, and availability may change. Beta features are also governed by the Beta Program Terms.

Your content and permissions

You retain ownership of content you upload. You grant Wavfolio a limited, nonexclusive license to host, copy, process, transmit, display, back up, and delete that content only as needed to operate, secure, support, and improve the service and comply with law. You represent that you have the rights and permissions needed to upload the content and to provide client names, email addresses, and other personal information.

Acceptable use

You may not upload or share unlawful, infringing, malicious, deceptive, abusive, or privacy-violating content; probe or bypass security; interfere with service operation; use another person’s account; send spam; or use Wavfolio to distribute malware or content you do not have permission to use.

Private links and client access

Private project links are bearer links. Anyone who receives a link and any required password may be able to access the shared project. You are responsible for selecting what clients can see, sharing links securely, and regenerating or disabling access when appropriate.

Memberships, limits, downgrade, and expiration

Project and storage limits are determined by the current eligible membership level. If you move to a lower eligible level, existing projects are not automatically deleted, but new project creation or uploads may be blocked while you are over the new limit. If all eligible access ends, Wavfolio provides a 30-day read-only grace period by default. During grace you may play and download existing files and permanently delete projects, but editing and uploads are disabled. Client links may remain available during grace according to site settings and are disabled when the grace period ends. Wavfolio does not automatically delete files immediately upon membership loss. Locked data is generally retained for up to 90 additional days and may then be deleted.

Payments and refunds

Paid memberships, billing cycles, renewals, cancellation, and refunds are governed by the membership terms shown at checkout and the applicable payment processor. Cancelling a recurring payment does not erase project data immediately; the membership lifecycle above applies.

Backups and professional use

Wavfolio is not your only backup or archival system. You must keep independent copies of all masters, sessions, stems, deliverables, artwork, metadata, and other important materials. Do not rely on Wavfolio as the sole source of a professional project record.

Copyright and complaints

Do not upload content that infringes copyright or other rights. Copyright owners may send sufficiently detailed infringement notices to support@wavfolio.com. We may remove or restrict content and may suspend repeat infringers. If Wavfolio seeks the liability protections available to qualifying online service providers under U.S. law, a separate designated-agent registration and publicly posted agent information may also be required.

Suspension and termination

We may restrict or suspend access to protect the service, investigate abuse, comply with law, address nonpayment, or enforce these Terms. You may stop using Wavfolio and request account deletion. Project deletion through the interface is permanent.

Disclaimers

To the maximum extent permitted by law, Wavfolio is provided “as is” and “as available,” without warranties of uninterrupted operation, error-free performance, fitness for a particular purpose, noninfringement, or permanent preservation of files. Some jurisdictions do not allow certain exclusions, so these exclusions apply only to the extent permitted.

Limitation of liability

To the maximum extent permitted by law, Wavfolio and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost business, lost recordings, lost data, or unauthorized link sharing. Any aggregate liability will not exceed the amount you paid to Wavfolio during the 12 months before the event giving rise to the claim, or USD $100 if you paid nothing, except where law prohibits this limitation.

Governing law

These Terms are governed by the laws of Florida, United States, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise.
